01Acceptance of Terms

By accessing, browsing, registering for, or using the AIEXNET platform, including our primary website (https://aiexnet.com), client dashboard (https://ax.aiexnet.com, https://app.aiexnet.com), APIs, autonomous software, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.

If you are agreeing to these Terms on behalf of a company, corporate enterprise, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. If you do not agree with any part of these Terms, you must immediately discontinue all use of the Service.

02Description of Services

AIEXNET operates a multi-tenant Autonomous Business Operating System (B2B SaaS) and cognitive execution infrastructure. Our products include:

• AIEXNET B2B OS: Unified enterprise operating system with telemetry, customer onboarding, store/client management, and autonomous operations.
• Autonomous AI Workforce: Pre-trained and customizable AI agents executing sales, customer success, marketing, and workflows across omnichannel platforms.
• AIEXNET Studio & Web Generation: High-performance web development, automated site building, and deployment orchestration.
• MindX Cognitive Engines: Advanced multi-provider AI model orchestration and vector RAG retrieval pipelines.

03Account Registration & Security

To access full features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration. You are solely responsible for safeguarding the credentials and API keys associated with your account. You agree to notify us immediately at security@aiexnet.com or support@aiexnet.com of any unauthorized access or security breach.

04Subscriptions, Billing & Payment Processing

• Recurring Billing: Paid subscriptions are billed in advance on a recurring monthly or annual billing cycle. Your subscription will automatically renew until cancelled by you.
• Taxes: All fees are exclusive of applicable federal, state, local, or value-added taxes (VAT), which shall be added to invoices where required by law.
• Price Adjustments: We reserve the right to modify pricing tiers upon providing at least thirty (30) days advance notice via email or dashboard notification.

06Acceptable Use Policy (AUP)

You agree not to use AIEXNET or its autonomous AI agents to:

• Violate any applicable local, state, national, or international law or regulation.
• Transmit unsolicited commercial bulk communications (“spam”), phishing lures, or deceptive malware.
• Engage in unauthorized penetration testing, denial-of-service (DDoS) attacks, or attempt to bypass Cloudflare security defenses.
• Perform adversarial prompt injection attacks intended to circumvent safety guardrails of underlying LLM engines.
• Infringe upon the intellectual property, copyright, or trademark rights of any third party.

Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

07Intellectual Property Rights

AIEXNET Property: All software, architectures, visual interfaces, documentation, logos, proprietary algorithms, and brand assets are the exclusive intellectual property of AIEXNET LLC and its licensors.

Customer Data Ownership:You retain complete ownership of all data, proprietary files, content, and prompts you input into the Service (“Customer Data”). We do not claim ownership over outputs uniquely created by you through the use of the platform.

08Uptime SLA & Disclaimer of Warranties

AIEXNET strives to maintain a 99.9% service uptime standard utilizing multi-region cloud redundancy and automated failover telemetry. However, the Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, AIEXNET disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

09Limitation of Liability

To the fullest extent permitted by law, in no event shall AIEXNET LLC, its officers, directors, employees, or contractors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, or business interruption. In no event shall our total aggregate liability exceed the total amount paid by you to AIEXNET during the twelve (12) months preceding the claim.

10Governing Law & Jurisdiction

These Terms and any dispute arising from or related to the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts located in Wyoming, USA.
